On 27 March 2015 Cramo Plc received a notification pursuant to Chapter 9, section 5 of the Securities Markets Act from Zeres Capital AB, according to which Zeres Capital AB is party to an arrangement which would, when implemented, result in Zeres Capital AB ‘s total holding of shares and votes in Cramo Plc to exceed the five (5) and ten (10) percent thresholds. As at the date of the notification, Zeres Capital AB held 5,028 shares, 0.01 % of shares and votes in Cramo Plc. When the arrangement is implemented, the holding of shares of Zeres Capital AB will increase by 4,691,702 shares, 10.62 % of shares and votes. After the arrangement has been implemented, Zeres Capital AB will hold 4,696,730 shares, 10.63 % of shares and votes in Cramo Plc. As at the date of the notification, Hartwall Capital Oy Ab held 4,491,702 shares, 10.17 % of shares and votes in Cramo Plc. When the arrangement is implemented, the holding of shares of Hartwall Capital Oy Ab will decrease by 4,491,702 shares, 10.17 % of shares and votes. After the arrangement has been implemented, Hartwall Capital Oy Ab will hold 0 shares, 0 % of shares and votes in Cramo Plc. The share sale is conditional upon (i) that Hartwall Capital Oy Ab provides the representative of the purchaser of the shares with a power of attorney to vote with the shares at the annual general meeting of Cramo Plc to be held on 31 March 2015 and (ii) that Cramo Plc’s Nomination and Compensation Committee publically revises its proposal to the annual general meeting regarding the board of directors, so that two persons currently proposed by the Nomination and Compensation Committee shall be replaced with two persons in a way satisfactory for the purchaser of the shares. On 11 August 2014, Cramo Plc received a notification in accordance with Chapter 9, Section 5 of the Securities Markets Act according to which Nordea Funds Oy’s total holding of shares in Cramo Plc had on 8 August 2014 increased above 5 percent. The total holding of Nordea Funds Oy was at the time of the announcement 2,237,468 shares and 5.096 percent of Cramo Plc’s shares and voting rights.

On 1 November 2013, Cramo Plc received a notification in accordance with Chapter 9, Section 5 of the Securities Markets Act according to which Rakennusmestarien Säätiö’s total holding of shares in Cramo Plc had on 14 October 2013 decreased below 5 percent. The total holding of Rakennusmestarien Säätiö was at the time of the announcement 2,129,422 shares and 4.97 percent of Cramo Plc’s shares and voting rights.

On 26 September 2013, Cramo Plc received a notification in accordance with Chapter 9, Section 5 of the Securities Markets Act from Hartwall Capital Oy Ab concerning termination of the agreement on 26 September 2013 entered into on 25 March 2010 whereby Hartwall Capital Oy has the right to excersise voting rights of the shares in Cramo Plc of the follwing parties: K. On 26 September 2013, Cramo Plc received a notification in accordance with Chapter 9, Section 5 of the Securities Markets Act according to which Hartwall Capital Oy Ab’s total holding of shares in Cramo Plc had on 26 September 2013 decreased below 15 percent. The total holding of Hartwall Capital Oy Ab was at the time of the announcement 4,491,702 shares and 10.55 percent of Cramo Plc’s shares and voting rights.

On 8 May 2013, Cramo Plc received a notification in accordance with Chapter 9, Section 5 of the Securities Markets Act according to which K. Hartwall Invest Oy Ab’s total holding of shares in Cramo Plc had on 7 May 2013 decreased below one twentieth (1/20). The total holding of K. On 27 April 2011, Cramo Plc received a notification in accordance with Chapter 2 Paragraph 9 of the Securities Markets Act according to which the following companies’ and private persons’ combined share of Cramo Plc’s shares and votes had on 26 April 2011 fallen below one fourth (1/4): Hartwall Capital Oy (6,491,702 shares, i.e. 15.67% of shares and votes), K. Hartwall Invest Oy (2,732,000 shares, i.e. 6.59% of shares and votes) and Kusinkapital Ab, Gustav Tallqvist, Pinewood Invest OÜ, Christel Hartwall, Pallas Capital Oy, Fyrklöver-Invest Oy Ab, Antonia Hartwall, Emma Hartwall, Axel Hartwall, Gulle Therman, Josefina Tallqvist, Victor Hartwall, Peter Therman and Mats Therman. The combined holding of each party listed above was at the time of the announcement 10,001,681 shares or 24.14 per cent of Cramo Plc’s shares and votes.

On 26 April 2011, Cramo Plc received a notification from both Pohjola Bank plc and the business unit of Handelsbanken Capital Markets, Svenka Handelsbanken AB (publ.) in accordance with Chapter 2 Paragraph 10 of the Securities Markets Act according to which no shares had been subscribed for by Pohjola Bank plc or the business unit of Handelsbanken Capital Markets, Svenska Handelsbanken AB (publ). in the rights issue based on the underwriting agreement described in the flagging notice published on 25 March 2011. Therefore, the possible holding announced in the flagging notice published on 25 March 2011 had also not been realised.

Based on the underwriting agreement signed on 24 March 2011 relating to the offering of Cramo Plc and the flagging notifications received by the company, Cramo Plc announced on 25 March 2011 it had received notifications of changes in ownership interest from Pohjola Bank plc and the business unit of Handelsbanken Capital Markets, Svenska Handelsbanken AB (publ). If Pohjola Bank plc’s underwriting for the offering is fully realised, the number of votes and shares to be subscribed for by Pohjola Bank plc will amount to a maximum of 3,007,936, corresponding to 7.26% of Cramo Plc shares and votes after the offering, provided that all shares to be offered in the offering will be fully subscribed for. If the underwriting given by Handelsbanken Capital Markets, Svenska Handelsbanken AB (publ), for the offering is fully realised, the number of votes and shares to be subscribed for by Handelsbanken Capital Markets, Svenska Handelsbanken AB (publ) will amount to a maximum of 3,027,736, corresponding to 7.31% of Cramo Plc shares and votes after the offering, provided that all shares to be offered in the offering will be fully subscribed for.

The OP Bank Group Central Cooperative announced on 7 December 2006 that the combined holdings of the subsidiaries of OP Bank Group Central Cooperative and the mutual funds managed by said subsidiaries had exceeded one twentieth (5%) of Cramo Plc’s shares and share capital, with the new holding totalling 1,530,553 shares, or 5.06 per cent of the shares and votes.

Pohjola Non-life Insurance Company Ltd announced that its holding had lowered to less than one-twentieth (1-/20) of Rakentajain Konevuokraamo Oyj’s share capital and votes (new holding of 3.78 per cent). Suomi Mutual Life Assurance Company announced that its holding had lowered to less than one-tenth (1/10) of Rakentajain Konevuokraamo Oyj’s share capital and votes (new holding of 5.34 per cent). Suomi Mutual Life Assurance Company announced that its holding exceeded three-twentieths (3/20) of Rakentajain Konevuokraamo Oyj’s share capital and votes (new holding of 15.33 per cent). Pon Holdings B.V. announced that its holding exceeded a quarter (1/4) of Rakentajain Konevuokraamo Oyj’s share capital and votes (new holding of 28.4 per cent). ABN AMRO Bank N.V. announced that its holding had increased to one-tenth (1/10) of the share capital and votes (new holding of 10.0 per cent). These changes in holdings related to the business combination took effect on 4 January 2006 and were published on the same date.
